(FDI) successively from 1997 to 2007 and the accumulative utilized FDI had exceeded 820 billion US Dollars. To a great extent, the FDI has boosted the economic development of China, and as
an important source of social investment in fixed assets for Guangzhou, FDI has a significant
impact on the local economic growth. Upgrading the industrial structure is an important issue in
the economic development of Guangdong Province. By summarizing the present stage of
Guangdong’s industrial structure and the FDI situation, as well as its distribution within the three
major industries, this paper analyzes the relevant relationship between the FDI and the upgrade of industrial structure in Guangdong Province.

From 1997 to 2007, China has been the largest FDI recipient among developing countries, and the total volume of FDI had reached $820 billion. FDI improve our country's economic development in significant measure. FDI as an important sources of funds of Guangdong province social fixed assets investment, and has an important impact on regional economic growth. So, upgrading the structure of industry is a serious problem. This paper analyzes the relationship between FDI and the upgrading of the industrial structure in Guangdong province by summarizing the industrial structure of Guangdong province and the situation of FDI at the present stage, and the distribution of FDI within the three major industries.

1997 -- 2007, China successively become the developing countries to absorb foreign direct investment than any other country, the use of foreign capital in excess of $820000000000, FDI is promoting China's economic development to a great extent, and the FDI as an important source of funding for Guangdong Province social investment in fixed assets, has an important influence on the economic growth in the region.The upgrading of the industrial structure is an important topic in Guangdong Province, economic development, this paper summarizes the present stage of Guangdong Province by industrial structure and foreign direct investment, as well as the distribution of foreign direct investment in three industries, so as to analyze the relationship between foreign direct investment and the upgrading of industrial structure of Guangdong province.
